Version CRA-2026-10-draft3
This agreement is between Minnesota SubHelp ("SubHelp") and the crew business that accepts it on the Join as a Crew form ("Crew").
- 1. Referral only. Minnesota SubHelp introduces homeowners and project owners ("Customers") to Crew. SubHelp is not a contractor and is not a party to any contract between Crew and a Customer. Crew contracts with the Customer in its own name, on its own written contract, and bills and collects all payments directly. SubHelp does not receive or hold Customer funds.
- 2. No supervision. SubHelp does not supervise, direct, schedule, inspect or control Crew's work, workers, means or methods. Crew alone controls and is responsible for the work. Crew may describe itself as "an independent contractor in the Minnesota SubHelp network," never as SubHelp's crew, employee or agent.
- 3. Commission. Crew will pay SubHelp a commission of 5% of the gross total contract price of each Customer contract resulting from a SubHelp referral. A contract "results from a referral" if it is signed within 12 months after SubHelp introduced the Customer to Crew, for that Customer or that property. Crew will report each signed contract within 5 business days. The commission is paid by Crew from the Customer's first payment or deposit, and is due within 7 days after Crew receives that payment. If a change order increases the contract price, Crew owes 5% of the increase, paid from the Customer's next payment. No commission is owed on amounts never collected or refunded in good faith. SubHelp never charges the Customer for the referral.
- 4. Records. Crew will provide copies of Customer contracts (pricing may be redacted except what is needed to calculate the commission) and payment records on request. SubHelp may confirm job status with the Customer, including through the homeowner job check-in.
- 5. Independent business. Crew is an independent business, responsible for its own workers, subcontractors, wages, taxes, workers' compensation, tools, materials, permits and warranties. Nothing here creates employment, agency, partnership or joint venture.
- 6. Licensing and insurance. Crew holds and will keep every license and registration the work requires, will not accept referrals for work it isn't licensed to do, and will tell SubHelp within 5 business days of any lapse, suspension or claim. Crew will keep general liability insurance coverage, with a current certificate of insurance on file with SubHelp, workers' compensation as required by law (or a valid exemption), and deliver a current certificate of insurance before any referral. SubHelp may pause referrals if coverage lapses. SubHelp's review of credentials does not shift Crew's responsibility.
- 7. Customer data. Crew will use Customer information only to quote and perform that Customer's project, protect it, and report any breach within 72 hours.
- 8. Non-circumvention. During this agreement and for 12 months after it ends, Crew will not avoid the commission by dealing directly with a Customer SubHelp introduced, for example by delaying signature, signing in another name, or asking the Customer to go around SubHelp. This doesn't restrict work for Crew's own documented pre-existing customers.
- 9. Indemnity and liability. Crew will defend and indemnify SubHelp against claims arising from Crew's work, workers, breach or violation of law, to the extent allowed by Minnesota law. SubHelp does not guarantee any number or value of referrals, and its total liability is limited to commissions paid in the prior 12 months.
- 10. Term. 12 months, renewing automatically unless either side gives 30 days' written notice. SubHelp may suspend or end referrals immediately for a lapse in license or insurance, safety or fraud concerns, non-payment or material breach.
- 11. General. Minnesota law governs; venue is Crow Wing County, Minnesota. Notices go by email to office@mnsubhelp.com and to Crew's email on file. Electronic agreement (typed name plus checkbox) is valid. The final signed version may be provided as a separate document.
